Terms of sale

1. Agreement
These Terms of Sale govern every purchase from AFA Biosciences (“we”, “us”). By placing an order you accept these terms together with our Research Use Disclaimer and Privacy Policy, which are incorporated by reference. If you do not accept them, do not order.
2. Eligibility
You must be at least 21 years of age and legally entitled to purchase research chemicals in your jurisdiction. We may require evidence of institutional affiliation or of your ability to handle these materials before releasing an order, and we may decline any order at our discretion.
3. Orders and acceptance
Submitting an order through this website is an offer to purchase, not a binding contract. No contract is formed until we issue an invoice confirming acceptance. We review every order before acceptance and may decline or cancel any order without stating a reason.
4. Pricing
Prices are in United States dollars and exclude shipping, insurance, duties and taxes. Volume tier pricing is applied per SKU based on the quantity ordered of that SKU. We make reasonable efforts to keep pricing accurate, but where a price is listed in error we reserve the right to cancel the affected order and refund any payment received rather than supply at the erroneous price.
5. Payment
Orders under $1,500 are paid by credit or debit card at checkout; card details are entered on our payment processor's secure form and are not stored by us. Orders of $1,500 or more are invoiced and paid by bank wire or cryptocurrency. Goods are not released until cleared funds are received, except where net terms have been agreed in writing in advance. Invoices unpaid after thirty days may be referred for collection, and we reserve the right to charge interest at 1.5% per month on overdue balances to the extent permitted by law.
6. Specification and analysis
Products are supplied to the purity specification stated on the relevant product page, verified by analytical HPLC and confirmed for identity by mass spectrometry. A lot-specific certificate of analysis accompanies every shipment. Fill weight refers to total lyophilized mass, which includes residual water and counter-ion; net peptide content is stated on the certificate.
7. Title and risk
Risk of loss passes to you on delivery to the carrier. Title passes on receipt of payment in full. You are responsible for inspecting each shipment on arrival and for notifying us of any discrepancy or damage within five business days.
8. Shipping and export
Shipping arrangements are set out in our Shipping & Handling policy. For international shipments you act as importer of record and are responsible for customs clearance, duties, taxes and compliance with all import restrictions applicable in the destination country. We do not refund orders seized or destroyed by customs authorities where the purchaser has failed to obtain a required permit.
9. Returns
Our returns position is set out in the Returns & Refunds policy. In summary, because these are chemical reference materials whose storage history cannot be verified once they leave our custody, we do not accept returns of correctly supplied product.
10. Warranty and limitation of liability
We warrant that products conform to their stated specification at the time of dispatch. This warranty is exclusive and replaces all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Our total liability arising out of or relating to any order is limited to the amount you paid for the product giving rise to the claim. We are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of data, loss of profits, or the cost of repeating experimental work, even where advised of the possibility.
11. Prohibited use
Use of any product other than for in-vitro laboratory research is a material breach of these terms, voids all warranties, and terminates any liability on our part. You agree to indemnify and hold us harmless against any claim arising from your use, handling, storage, disposal or onward supply of the materials.
12. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, and the courts of that state have exclusive jurisdiction over any dispute arising from them.
13. Changes
We may amend these terms at any time. The version in force at the moment your order is accepted is the version that governs that order.
