Terms of sale

1. Agreement

These Terms of Sale govern every purchase from AFA TRADERS LLC, a New Jersey limited liability company trading as AFA Biosciences (“we”, “us”). By placing an order you accept these terms together with our Research Use Disclaimer and Privacy Policy, which are incorporated by reference. If you do not accept them, do not order.

Electronic records. By placing an order, ticking a checkbox, or using a sign-in link we email you, you consent to contracting by electronic signature and record, and to receiving order confirmations, invoices, notices and other communications about your orders by email at the address on your account.

2. Eligibility

We sell to laboratories and research organizations in the United States. To purchase you must be at least 21 years of age, purchasing on behalf of such an organization, and legally entitled to purchase research chemicals in your jurisdiction.

We require the following of every purchaser, and each order is accepted on them: a registered account; and, at checkout, your certification of your age, of your laboratory or research-organization affiliation, and of the research-use conditions. Each of these is recorded with the order. You may give the name and type of the organization the order is placed for, and we record it when you do, but it is not required. We may decline any order at our discretion.

These requirements establish who is purchasing and on what terms; they do not establish regulatory approval, or the lawfulness of any particular product or use in your jurisdiction, which remains your responsibility.

3. Orders and acceptance

Submitting an order through this website is an offer to purchase.

Card orders. We accept your offer when your card payment is authorized, and a contract is formed at that point. We may nevertheless cancel a card order within two business days of placement if we cannot fulfill it, if the order does not meet our eligibility or research-use requirements, or if we have grounds to believe the materials are not intended for laboratory research. If we cancel, the full amount charged is refunded to the card used, and that refund is your sole remedy.

Transfer orders. For orders paid by Cash App, Zelle, ACH bank transfer or cryptocurrency, no contract is formed until we confirm receipt of your payment. The order is held for you meanwhile, for the period stated with the payment details; if the payment has not arrived by then, the order is cancelled and the items released. We may decline any such order without stating a reason.

4. Pricing

Prices are in United States dollars and exclude shipping, insurance, duties and taxes. Volume tier pricing is applied per SKU based on thequantity ordered of that SKU: a single unit is at list price, 2 to 50 units of a SKU are priced 10% below it, and each pack carries its published tier. We make reasonable efforts to keep pricing accurate, but where a price is listed in error we reserve the right to cancel the affected order and refund any payment received rather than supply at the erroneous price.

Volume packs. Any whole quantity from 1 to 1,000 vials of a SKU may be ordered. Packs of 100, 250, 1,000 vials are offered at the pack price shown and set the unit price for that quantity; quantities above 1,000 of one SKU are quoted individually. A pack is drawn from a single released lot and is covered by that lot's certificate of analysis. Packs are subject to every other provision of these terms, including §9.

Discount codes. A discount code we issue takes the stated percentage off the list price of the goods. A code replaces the quantity discount rather than adding to it: an order with a code is priced at list throughout and the percentage comes off that, so the pack and stock-up prices do not also apply. It does not apply to shipping or tax. One code per order, entered at checkout before the order is placed — it cannot be applied afterwards. A code may carry an expiry date or a use limit, and we may withdraw a code at any time before an order is placed with it. A refund of an order placed with a code is of the amount actually paid.

5. Payment

Orders under $1,500 may be paid by Cash App, Zelle, ACH bank transfer or cryptocurrency, or by card where that option is offered at checkout. Orders of $1,500 and over are paid by Cash App, Zelle, ACH bank transfer or cryptocurrency, but not by card. An order paid by transfer is held until the payment arrives and ships as soon as it does; nothing is invoiced.

Where card payment is offered, it is processed by a third-party payment processor named at checkout; card details are entered on the processor's secure form and are not stored by us, and payment is taken when you place the order, before dispatch. Cash App, Zelle, ACH and cryptocurrency payments are sent by you, from your own account or wallet, to the details we show you when you place the order: nothing is charged by this site, the order is released for dispatch once the payment has arrived, such transfers cannot be recalled once sent, your order reference must be included in the payment memo, and an order not paid within the time stated at checkout (24 hours for Cash App, Zelle and cryptocurrency; seven days for ACH) is cancelled and its stock released. Cryptocurrency payments carry a 3% settlement discount on the goods and must be sent on the network named for the address given. Dispatch and delivery times are stated at checkout and in our shipping policy. Goods are not released until cleared funds are received, except where net terms have been agreed in writing in advance. Invoices unpaid after thirty days may be referred for collection, and we reserve the right to charge interest at 1.5% per month on overdue balances to the extent permitted by law.

Disputes and chargebacks. Card charges appear on your statement as AFA Biosciences. If a charge is unexpected or an order has a problem, contact support@afabiosciences.com with the order number before raising a dispute with your card issuer; we answer billing questions within one business day and resolve genuine errors by refund. A chargeback raised without first contacting us, on an order that was delivered as described, is a breach of these terms: we will contest it with the order record, delivery confirmation and your research-use certification, suspend the account, and may refer the amount to collection.

6. Specification and analysis

Products are supplied to the purity specification stated on the relevant product page. Each lot is tested by a third-party laboratory, and the laboratory, the assays it ran and the methods it used are published for that lot on its certificate — they differ between lots, so this clause does not state them. A lot-specific certificate of analysis accompanies every shipment. Fill weight refers to total lyophilized mass, which includes residual water and counter-ion; net peptide content is stated on the certificate where the laboratory measured it.

7. Title and risk

Risk of loss passes to you on delivery to the carrier. Title passes on receipt of payment in full. You are responsible for inspecting each shipment on arrival and for notifying us of any discrepancy or damage within five business days.

8. Shipping and export

Shipping arrangements are set out in our Shipping & Handling policy. We ship to addresses in the United States and its territories, and to destinations outside the United States that are not subject to United States sanctions or export restrictions. Shipping outside the United States is quoted to you before any payment is taken, and no order is charged until you accept that quote.

For any destination outside the United States you are the importer of record. Duties, taxes and customs charges are yours, and you are responsible for meeting the import requirements of the destination. You may not export, re-export or forward the materials without complying with all applicable export controls; you are solely responsible for that compliance, and we accept no liability for materials that leave the country of delivery. We may decline or cancel any order, before or after a quote, where we are not satisfied that a shipment can lawfully be made.

9. Returns

Our returns position is set out in the Returns & Refunds policy. In summary, because these are chemical reference materials whose storage history cannot be verified once they leave our custody, we do not accept returns of correctly supplied product.

10. Warranty and limitation of liability

We warrant that products conform to their stated specification at the time of dispatch. This warranty is exclusive and replaces all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Our total liability arising out of or relating to any order is limited to the amount you paid for the product giving rise to the claim. We are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of data, loss of profits, or the cost of repeating experimental work, even where advised of the possibility.

11. Prohibited use

Use of any product other than for in-vitro laboratory research is a material breach of these terms, voids all warranties, and terminates any liability on our part. You agree to indemnify and hold us harmless against any claim arising from your use, handling, storage, disposal or onward supply of the materials.

12. Governing law and disputes

These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. If a dispute arises, write to us first at support@afabiosciences.com with the order reference; we aim to resolve every complaint within thirty days. Any dispute that cannot be resolved that way is subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.

13. Changes

We may amend these terms at any time. The version in force at the moment your order is accepted is the version that governs that order.
